Terms and Conditions

This is a translation for convenience. The German version is legally binding.

1. Scope

These terms apply to licences and services for the products of INVENT-IT, c/o Marcus Ripkens, Am Sportplatz 23, 41844 Wegberg, Germany ("we"), currently Groundplate and Oqqi. The product-specific terms apply in addition (groundplate.org/terms, oqqi.de/agb) and take precedence where they differ.

2. Purchase through a reseller

We sell paid licences through an authorised reseller acting as merchant of record, who is named at checkout. The contract of sale is concluded with the reseller; its buyer terms additionally govern payment, invoicing, sales tax and refunds. We provide the software or service purchased and deliver updates and support.

3. Customer groups

Paid Groundplate licences are offered to businesses only (entrepreneurs within the meaning of Section 14 of the German Civil Code). Oqqi venue licences are aimed at businesses, clubs and event organisers. Offers for consumers, such as party games for private boards, are marked as such at checkout. Statutory consumer rights, in particular the right of withdrawal, remain unaffected.

4. Scope of services and rights of use

The scope of services follows from the product and plan description at the time of the order. For the term of the licence you receive a simple, non-transferable right to use the software or service within the plan you chose. Open-source components are subject to their respective open-source licence.

5. Term, renewal and cancellation

Subscriptions renew automatically for the chosen term unless cancelled before it ends. Notice periods follow from the product-specific terms; for consumers, the statutory maximum terms and notice periods apply. You can cancel in the reseller's customer area, in the product, or in text form (for example by e-mail to support@invent-it.eu). One-off purchases such as a day pass end automatically when the purchased period expires.

6. Customer obligations

You keep credentials and licence keys confidential, do not circumvent licence checks and use our products only in compliance with applicable law. Oqqi is used to organise and score darts games; entry fees and prize money are not processed through Oqqi.

7. Availability of hosted services

We operate hosted services with the care of a professional operation but cannot guarantee uninterrupted availability. Where possible, we announce maintenance in advance.

8. Defects

Statutory warranty rights apply. Towards businesses, we are first entitled to cure a defect within a reasonable period (bug fix or equivalent workaround); defects must be reported to us in text form without undue delay and with a reproducible description.

9. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slight negligence we are liable only for breach of an essential contractual obligation whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely, limited to the foreseeable damage typical for the contract. For self-hosted installations you are responsible for the secure operation of your infrastructure and for backups.

11. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Towards consumers this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the country of their habitual residence. If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the registered place of business of INVENT-IT. Should individual provisions be invalid, the validity of the remaining provisions is unaffected.
